Ariba to acquire Agile Software

Mountain View, Calif.-based Ariba, a business-to-business (B2B) e-commerce platform and network services provider, has signed a definitive agreement to acquire Agile Software Corp., a San Jose, Calif.-based provider of collaborative commerce solutions, in a stock-for-stock merger.
Under terms of the agreement, each share of Agile common stock will be converted into 1.35 shares of Ariba, resulting in a net aggregate purchase price of approximately $2.55 billion based on Ariba's closing price on January 26.
The companies say the combined entity will offer a unified platform for Internet-based commerce and collaboration. Agile delivers solutions that control what is said to be the most critical information asset shared between companies: dynamic product definition. This information-which includes bills of material, formulas and recipes, and specifications and drawings-is at the heart of the product life cycle. By integrating Agile solutions into Ariba's B2B commerce platform and expanded network, Ariba believes it is uniquely positioned to deliver a solution that is capable of driving the entire product life cycle from a common source of product information.
